Independent Contractor
Telemarketer Agreement

The purpose of this letter is to set forth our agreement with respect to the terms and conditions upon which you agree to act as an independent telemarketer for Locations, Etc. Inc. through its affiliate TheBestPropertyGuy.com

1. Effective as of the date of execution of this Agreement, you are engaged by the undersigned as an independent contractor for Locations, Etc. Inc.

2. In such capacity, you will pursue such leads as you may obtain or that we may supply to you for the sign-up or sale of Locations, Etc. and/or its affiliates, assigns or partners’ programs. All sign-ups and/or sales of into such programs shall be mutually agreed upon by you and the undersigned.

3. You shall at all times maintain the good will between the undersigned and its customers/clients.

4. You will determine the methods of carrying out your obligations hereunder and the number of hours that you will work. You ensure that you are well trained in the materials, and are consistently working and reporting you results.

4a. At all times you will maintain standards of performance and behavior established by the undersigned and will conduct your activities in accordance with standards and directions of the undersigned.

5. You may employ such individuals as you may desire on such terms and conditions that you may establish, and you alone will be solely responsible for the payment of salaries and/or other compensation to your employees and for the payment of federal, state and local tax obligations with respect to such payments.

6. independent Contractor compensation: In consideration for the services to be rendered by you, you will receive the following compensation. Customer contact information must be input into the system at www.TheBestPropertyGuy.com/mma.html and include your name as the referring Telemarketer.

6a. You will receive $10 in compensation for every individual that you refer who becomes a MMA authorized agent and/or a real estate sales agent under Lyle Benjamin.

6b. You will receive a $10 commission for every referred customer's written MMA analysis Lyle Benjamin issues as direct result of said customer properly completing a MMA Report Worksheet.

6c. You will receive a $10 commission for every referred customer who obtains a Home Equity Line of Credit (HELOC) from a financial institutional and provides proof of such to Lyle Benjamin.

6d. Furthermore, you will receive an additional $75 commission for every referred customer who purchases the MMA software as a result of the MMA Analysis report and the obtained HELOC.

6e. If you are selected by TBPG to be a Team Leader, you will supervisor a group of approved Telemarketers through telephone calls, training, and reporting; and, in turn, you will be compensated $20 on every MMA software purchase credited to your team, and $1 for every new agent sign up.


7. Commissions will be dispersed on the first and third Monday of the month. Sales commissions are paid within 10 days of said customer’s receipt of said merchandise. In no case shall a commission be due or payable by Locations Etc. on monies that have not be collected or have been returned to said customer for any reason whatsoever.

8. It is agreed that you will not be treated as an employee of the undersigned for federal and state tax purposes. Rather, you will be an independent contractor and will be solely responsible for payment of all federal, state and local tax obligations with respect to all amounts paid to you by the undersigned.

9. Said Locations, Etc. Inc’s, TheBestPropertyGuy.com business model, websites, directory, newsletter, contents, format, design, scripts and telemarketing practices are the sole intellectual property of Lyle Benjamin, and as such, you understand that you are prohibited from creating, associating, partnering or benefiting from your own company or another company employing a similar service or system without the written consent of Lyle Benjamin. Upon your termination from said relationship this non-competition clause shall remain in effect for a period of not less than six months.

10. This agreement will continue until terminated by either of us at will with 30 days notice in writing. All commissions due, but not yet paid, shall remain in effect.

11. Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by arbitration in accordance with the then obtaining rules of the American Arbitration Association in the State of New York and a judgment upon any award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

If the foregoing accurately contains the terms and conditions of our Agreement, kindly execute the enclosed copy of this letter Agreement where indicated and return it to the undersigned.
